DISCLOSURE POLICY Disclosure Policy

Basic Philosophy

Guided by our management philosophy that “we contribute to the local communities through co-creating the fun in “食(Shoku: food)” and “職(Shoku: work)” all for your smiles”, we aim to enrich our dialogue with our stakeholders by disclosing information with fairness, transparency, and consistency in a timely manner, based on the rules and regulations of the Stock Exchange as well as the Securities Exchange Law.

Disclosure Methods

With regard to the disclosure of information for which timely disclosure is required by the Tokyo Stock Exchange, following explanations to the said stock exchange, we will disclose the applicable information via the disclosure system TDnet (Timely Disclosure Network) offered by the stock exchange. After the disclosure on TDnet, we will disclose the same information through news media and our Website. However, due to the system, the posting on our Website may be delayed. Further, we strive to disclose information that is deemed to be useful for understanding our Company even if it is not subject to the applicable laws and regulations and the timely disclosure regulations.

Future Forecasts

Besides historical information and data, the forecasts on Sagami’s future plans, strategies, and business performance in the disclosure materials are based on the information available at the time of disclosure and certain assumptions that the company considers to be reasonable. Actual performance may differ significantly from the business forecasts due to various risk factors, fluctuations and economic uncertainties, and we will revise them as appropriate.

Quiet Period

To prevent the leakage of business results and ensure fairness, Sagami has specified the month prior to the announcement (one month) of business results as a quiet period. During this period, we basically refrain from responding to any inquiries on our business results and making any comments thereof. However, if we anticipate a significant difference to occur between the original forecasts and actual results during the quiet period, we will disclose such information timely based on the disclosure regulations. With regard to information that has already been disclosed prior to the Quiet Period, we will respond to any inquiries even during the Quiet Period.
